Chapter Seven: The Boardroom War

Monday, 2:00 p.m.
The executive boardroom of Crosswell Technologies had never been so full.
Directors.
Corporate counsel.
Investment bankers.
Independent auditors.
Representatives from the company's largest institutional investors.
Every seat was occupied.
Outside, reporters crowded the sidewalk below, broadcasting live from the foot of Crosswell Tower.
Inside, no one spoke.
They were waiting for one person.
At exactly two o'clock, the doors opened.
Amelia Brooks entered first, accompanied by two attorneys and a court reporter.
Behind them came six representatives from Hart Global Holdings.
None wore flashy watches.
None tried to command attention.
Yet their quiet confidence dominated the room.
Amelia placed a leather portfolio on the table.
"Ladies and gentlemen," she said evenly, "this emergency shareholders' meeting is now in session."
Damian remained standing.
"I object."
Amelia looked up.
"On what grounds?"
"This meeting is illegal."
"The company charter says otherwise."
She slid a certified copy of the charter across the table.
A judge's seal gleamed at the bottom of the page.
Damian didn't touch it.
He already knew what it would say.
Several directors shifted uneasily.
One of the oldest members of the board, Harold Benson, cleared his throat.
"I've served this company for twenty-one years."
"I'd like one question answered."
He looked directly at Amelia.
"Why now?"
"If Hart Global has controlled Crosswell all these years..."
"...why wait until today?"
The room turned silent.
Amelia answered without hesitation.
"Because the controlling shareholder declined to exercise that authority."
"She believed Crosswell's leadership deserved the opportunity to succeed on its own merits."
"And when did that change?" Harold asked.
Amelia met his gaze.
"When the leadership forgot the difference between stewardship and ownership."
Damian laughed bitterly.
"Enough riddles."
"If Hart Global wants this company..."
"Then tell them to come take it themselves."
Almost on cue...
The boardroom doors opened again.
Everyone turned.
A woman stepped inside wearing a charcoal-gray suit with a simple silver brooch.
Her hair was neatly tied back.
No diamonds.
No designer logos.
No attempt to impress anyone.
She didn't need to.
The room recognized her instantly.
Eleanor Hart.
The same woman who had been publicly humiliated less than forty-eight hours earlier.
Damian's face hardened.
"You've got a lot of nerve showing up here."
Eleanor ignored him.
Instead, she walked calmly to the head of the table.
The chair reserved for the controlling shareholder.
She placed a thin folder on the polished wood.
"Good afternoon."
No one moved.
Then Harold Benson slowly stood.
"So..."
"...it's true."
She nodded once.
"Yes."
One by one, the remaining directors rose to their feet.
Not because they feared her.
Because corporate protocol required them to acknowledge the controlling shareholder.
Damian remained seated.
His knuckles whitened around the edge of the table.
"I think," Eleanor said quietly, "it's time we stopped pretending."
She opened the folder.
Inside were documents spanning nearly a decade.
"I've spent four years sitting in this room."
"Most of you assumed I was here because I was Damian's wife."
Several directors lowered their eyes.
"The truth is..."
"I was here because Hart Global asked me to observe."
A murmur swept through the room.
"I never interfered unless the survival of this company required it."
She turned another page.
"I approved emergency financing."
"I negotiated international acquisitions."
"I protected proprietary technology."
"I prevented hostile takeovers."
She looked around the table.
"I did those things because twenty-eight thousand employees depended on this company."
"Not because anyone thanked me."
Damian finally stood.
"So what?"
"You want applause?"
"No."
Eleanor's voice remained calm.
"I wanted honesty."
He laughed sharply.
"You could've told me."
"I tried."
"When?"
"The night before the Singapore negotiations."
"You canceled dinner."
She continued.
"The week the cybersecurity breach happened."
"You said you were golfing."
Several directors glanced at Damian.
"The labor strike in Ohio."
"You told me you were too busy to listen."
Every sentence landed like another stone.
Damian searched his memory.
One by one...
He remembered.
Phone calls he'd ignored.
Meetings he'd postponed.
Evenings she'd waited for him.
He had always assumed there would be another time.
There hadn't been.
The company's lead independent director spoke carefully.
"Miss Hart..."
"Are you seeking control?"
"No."
The answer surprised everyone.
"I'm seeking accountability."
She pressed a button on the remote.
The screen behind her lit up.
A list of names appeared.
Senior executives.
Consultants.
Outside contractors.
Beside each name was a dollar amount.
Unauthorized payments.
Fake consulting fees.
Shell-company invoices.
The total exceeded...
$214 million.
Gasps echoed around the room.
Victor Lang stared at the figures.
"My God..."
"I never saw these."
"You weren't supposed to," Eleanor replied.
"The payments were divided across twelve subsidiaries."
Damian looked stunned.
"You're saying someone stole over two hundred million dollars?"
"No."
Eleanor's eyes met his.
"I'm saying multiple people did."
Amelia stood.
"Our forensic audit confirms systematic fraud over a period of six years."
"Evidence has already been provided to federal investigators."
A director whispered,
"Who authorized those payments?"
Eleanor didn't answer immediately.
Instead, she clicked to the next slide.
A network diagram filled the screen.
Dozens of shell companies.
Hidden accounts.
Offshore transfers.
At the center...
one name appeared repeatedly.
Gregory Walsh.
Crosswell Technologies' Chief Operating Officer.
The room turned toward the empty chair near the end of the table.
Gregory hadn't attended.
Victor frowned.
"He said he was sick."
Amelia calmly replied,
"No."
"He boarded a private jet for the Cayman Islands three hours ago."
The room erupted.
At that exact moment...
Inside a private terminal at Teterboro Airport...
Gregory Walsh strode toward his waiting Gulfstream jet.
His passport was in one hand.
His phone in the other.
Everything had gone according to plan.
Crosswell would collapse.
The investigation would focus on Damian.
By the time anyone uncovered the offshore accounts...
Gregory would be halfway around the world.
He smiled.
Then stopped.
Four black SUVs rolled onto the tarmac.
Federal agents stepped out.
Their jackets bore three letters.
FBI.
Gregory's smile disappeared.
The lead agent approached.
"Gregory Walsh?"
He slowly nodded.
"You are under arrest for conspiracy, securities fraud, wire fraud, and money laundering."
Cold metal handcuffs closed around his wrists.
His private jet never left the ground.
Back in the boardroom...
An FBI agent entered and handed Amelia a sealed envelope.
She opened it.
Then looked toward the directors.
"Mr. Walsh has been taken into federal custody."
Silence.
Absolute silence.
For the first time since the meeting began...
Damian realized something that chilled him more than losing control of the company.
The fraud wasn't Eleanor's revenge.
It had been happening right under his nose.
And he had never seen it.
As the meeting adjourned, most of the directors remained seated, trying to absorb everything they had learned.
Damian watched Eleanor gather her papers.
"Wait."
She paused but didn't turn around.
"I need to ask you something."
"What?"
"If you knew all of this..."
"...why didn't you tell me sooner?"
For several moments, she said nothing.
Then she answered without anger.
"I spent years trying to protect you from the consequences of other people's lies."
She finally looked back at him.
"You never realized..."
"...the only lie you truly believed was that you never needed me."
She walked out of the boardroom.
The doors closed softly behind her.
Damian stood alone at the head of the long conference table.
For the first time in his career...
He wasn't thinking about stock prices.
Or shareholders.
Or reporters.
He was thinking about the woman he had driven away.
And wondering whether he had lost far more than a company.
Far across the city, Eleanor's secure phone vibrated.
A single encrypted message appeared from Amelia.
Phase Seven Complete.
Gregory Walsh is in custody.
The first witness has agreed to cooperate.
Eleanor read the final line twice.
The conspiracy reached much deeper than Gregory Walsh.
And the next name on the witness list...
