Chapter 3 - THE EMERGENCY AGREEMENTS

At Escalante Capital, Helena displayed the corporate structure on the largest screen.
Dozens of companies appeared in a complicated network of holding entities, trusts, loan agreements, and licensing contracts.
At the center stood Whitmore Global.
Andrew had spent years presenting the company as the achievement of his family.
In reality, the company had nearly collapsed five years earlier.
Before Mariana intervened, Whitmore Global had been buried beneath hidden debt.
Its largest construction project had failed.
Three investors were preparing lawsuits.
The company had enough cash to survive for less than six weeks.
Andrew had never told Mariana the truth.
She had discovered it by accident after finding an unopened collection notice inside his study.
Rather than expose him, she had created a rescue plan.
Escalante Capital purchased the most dangerous debt.
Mariana renegotiated contracts.
She convinced suppliers to delay payments.
She personally designed the expansion strategy that transformed Whitmore Global into an international luxury development company.
Andrew accepted the applause.
Mariana remained invisible.
She had believed protecting his pride would protect their marriage.
Instead, it had fed his arrogance.
“Whitmore Global does not own its most valuable technology,” Helena explained.
“The management systems, customer databases, design patents, and overseas licensing agreements belong to Escalante subsidiaries.”
“What does Andrew own?” Rafael asked.
Helena changed the display.
A much smaller collection of assets appeared.
“He owns the Whitmore name.”
Rafael gave a humorless smile.
“A name without the business beneath it.”
“He also owns several shell companies,” Helena continued.
“Unfortunately for him, those entities carry most of the unsecured debt.”
Mariana studied the figures.
“How much did he borrow without reporting it?”
“Nearly eighteen million dollars.”
Her eyes narrowed.
“For what?”
“We are still tracing the transfers.”
A financial investigator entered the room.
His name was Daniel Kim, and he led Escalante Capital’s forensic accounting division.
“We found something,” Daniel said.
He placed several transaction records on the screen.
Over the previous fourteen months, Andrew had transferred company funds into a consulting business called B.L. Strategic Partners.
The initials were not difficult to understand.
“Brenda Lawson,” Mariana said.
Daniel nodded.
“The company is registered to her.”
“How much?”
“Four point six million dollars.”
Rafael’s expression darkened.
Andrew had not merely betrayed Mariana emotionally.
He had used the company she saved to finance his mistress.
Mariana examined the dates.
One transfer had occurred on her birthday.
Another had been made while Andrew was supposedly attending a charity conference.
A third had paid for the crimson gown Brenda wore that evening.
“Preserve every record,” Mariana said.
“Do not confront them yet.”
Rafael studied his daughter.
“You want them comfortable.”
“I want them careless.”
Helena closed the file.
“There is another matter.”
She placed a copy of Mariana and Andrew’s prenuptial agreement on the table.
“Margaret’s attorneys will claim this protects the Whitmore family.”
“It does protect them,” Mariana replied.
Helena smiled.
“From your personal property.”
Rafael understood immediately.
The agreement Andrew had insisted upon prevented either spouse from claiming assets owned before the marriage.
Nearly everything supporting Andrew’s lifestyle had belonged to Mariana or the Escalante trust long before their wedding.
The agreement meant to keep Mariana away from Whitmore wealth would prevent Andrew from touching hers.
