Chapter 12 - THE OLD CONSPIRACY

The Northstar files changed everything.
For years, Eleanor had told Julian that his father died believing Arthur had denied him control of the company.
The truth was more complicated.
Julian’s father, Michael Vance, had secretly borrowed money from Northstar Meridian during a failed expansion.
Northstar was controlled by Eleanor’s brother, Richard.
When the expansion collapsed, Richard attempted to convert the debt into voting shares.
Arthur discovered the arrangement and stopped it.
Michael eventually admitted what he had done.
He and Arthur repaired their relationship before Michael’s death.
But Eleanor never accepted the outcome.
“She believed the company should have passed entirely to Michael,” Arthur explained.
They were gathered in Thomas’s conference room the next morning.
Elena had joined them after Thomas called.
Julian sat across the table from her.
Neither knew how to speak to the other yet.
Arthur continued.
“After Michael died, Eleanor expected me to transfer all voting authority to Julian immediately.”
Elena understood.
“And when you refused, she restarted the old plan.”
Arthur nodded.
Thomas opened a file.
“Northstar began buying Vance debt again eighteen months ago.”
“Shortly after Elena and Julian became engaged.”
Julian looked at Elena.
“So your father noticed.”
Thomas answered.
“I noticed because Sterling Global monitors distressed corporate debt.”
“Your marriage made me look closer.”
Elena remained quiet.
Thomas continued.
“I warned Elena that Vance Holdings had vulnerabilities.”
Julian turned toward her.
“You knew?”
“I knew the company had debt problems.”
“Not that your mother was behind them.”
Julian lowered his eyes.
Arthur pushed another document across the table.
“There is something else.”
It was a draft agreement.
If Vance Holdings defaulted on specific loans, Northstar Meridian would receive enough voting rights to influence board control.
Julian stared at the signature line.
His mother’s name appeared beneath it.
“She signed this.”
Arthur nodded.
“Without authority.”
Elena looked at Thomas.
“Can they enforce it?”
“No.”
Thomas tapped the document.
“But that may not have been the point.”
Arthur understood.
“They wanted leverage.”
“Exactly.”
Thomas leaned back.
“Manufacture a crisis.”
“Remove Julian.”
“Discredit Elena.”
“Force the board into emergency financing.”
“And Northstar offers the solution.”
Julian laughed bitterly.
“My mother tried to save the family company by stealing it.”
Arthur looked at him.
“No.”
“She tried to steal it by convincing herself she was saving it.”
The distinction mattered.
Because people who believed their own excuses were often the most dangerous.
Then Elena’s phone rang.
Unknown number.
She answered.
“Hello?”
A man’s voice spoke quietly.
“Ms. Sterling?”
“Yes.”
“My name is Richard Cole.”
Thomas stood immediately.
Eleanor’s brother.
The founder of Northstar Meridian.
