Chapter 7 - The Emergency Board Meeting

At eight the next morning, the Whitmore-Saint Claire board assembled on the eighteenth floor.

Preston arrived with two attorneys.

Charles arrived with four.

Raymond came alone.

Emily entered six minutes later with Sarah Mills.

Every person at the table stood.

Emily hated that.

Not because it was disrespectful.

Because she knew exactly why they were standing.

Yesterday, she had been Preston’s quiet wife.

Today, they knew what her signature could do.

Emily took the chair beside Raymond.

Charles looked at her carefully.

“You should be resting.”

“I was.”

Emily placed the forged proxy on the table.

“Then I found this.”

Nobody spoke.

Preston leaned back.

“That document was prepared as part of estate planning.”

“My signature is fake.”

“That’s an allegation.”

Emily looked at him.

“Then sign an authorization allowing the forensic examiner to compare it to every document I’ve signed in the last five years.”

Preston said nothing.

Raymond slid a second document forward.

“The compliance committee reviewed yesterday’s security footage.”

One board member cleared his throat.

“Was the assault visible?”

“Completely.”

Preston leaned forward.

“Vanessa acted independently.”

Emily’s eyes stayed on him.

“Then why did you file a security warning about me fourteen minutes before I arrived?”

Charles turned sharply toward his son.

Preston’s attorney interrupted.

“My client was concerned about potential domestic conflict.”

Emily nodded.

“Interesting.”

She opened another folder.

“Because your client also canceled the security escort normally provided to maternity patients entering through the east garage.”

Preston stared at her.

Sarah continued.

“And he instructed the floor supervisor not to intervene unless Mrs. Whitmore became physically aggressive.”

A murmur moved around the table.

Charles looked at Preston.

“You did what?”

Preston’s composure cracked.

“I was trying to prevent a scene.”

Emily leaned forward.

“You created one.”

Silence.

Then Raymond spoke.

“We have another issue.”

He placed financial documents before every board member.

“Four million dollars from a restricted women’s health reserve were transferred into Whitmore Medical Management.”

Charles’s face changed.

“That was a temporary liquidity move.”

Raymond looked at him.

“Using a forged beneficiary authorization?”

Charles looked down.

Raymond continued.

“The funds were then used to satisfy interest on private Whitmore Development debt.”

One board member swore under his breath.

Preston finally spoke.

“The money was going back.”

Emily stared at him.

“You stole from a maternity fund.”

“It was an internal transfer.”

“You forged my name.”

“To protect the hospital.”

Emily shook her head.

“No.”

She pointed toward him.

“You protected yourself.”

Raymond closed the folder.

“Under Section Fourteen of the operating agreement, the board may suspend Whitmore Medical Management pending a formal fraud review.”

Charles immediately stood.

“If you do that, you trigger our debt covenants.”

Raymond looked at him.

“I know.”

Charles turned toward Emily.

“If this vote goes through, the Whitmore company could collapse by Monday.”

Emily understood his phone call now.

People lose everything.

He was warning her about himself.
